UPDATE 3-Comcast offers to divest customers to win TWC approval

April 28 (Reuters) - Comcast Corp offered to sell 1.4 million pay TV subscribers to Charter Communications Inc for $7.3 billion as part of a transaction aimed at winning regulatory approval for its proposed $45 billion takeover of Time Warner Cable.

Comcast also said it would divest another 2.5 million subscribers into a new publicly traded company, dubbed SpinCo for now, to be one-third owned by Charter and two-thirds by Comcast shareholders.

The deal would make Charter - whose own bid for Time Warner Cable was thwarted by Comcast's higher offer - the second-biggest U.S. pay TV company with 5.7 million customers, overtaking Cox Communications Inc.

Charter's shares rose as much as 10 percent to $142.70 in early trading on Monday. Comcast shares were up 1.4 percent at $51.70.

Comcast would have less than 30 percent of the U.S. residential cable or satellite TV market after the deal, the company said in a statement.

The agreement is contingent on Comcast's Time Warner Cable deal being approved by the Justice Department and the U.S. Federal Communications Commission, a process that could take many months.

Analysts said the deal was a pre-emptive move by Comcast ahead of a review of the deal by regulators.

"Comcast wanted to do this deal now with Charter so it could get in front of regulators at the Justice Department and the FCC at the same time as the Time Warner Cable deal," a source familiar with the matter said.

The source said there was a standstill agreement with Charter stipulating that it cannot gain full control of SpinCo for four years. Comcast will have no ownership in SpinCo.

SpinCo would have an estimated enterprise value of $14.3 billion and an equity value of $5.8 billion, Charter and Comcast said in an investor presentation. (r.reuters.com/vyd88v)

The divestments, mostly in the U.S. Midwest, would deliver about $19.5 billion in value to Comcast shareholders, the companies said.

"For Charter, this deal is a transformative event and sets them up over time to consolidate the balance of the rest of the cable industry," Pivotal Research Group analyst Jeff Wlodarczak told Reuters, adding that the deal was good for both parties.

MORE CLOUT FOR MALONE

Charter's deal with Comcast marks an acceleration of John Malone's effective return to cable through his investment vehicle Liberty Media Corp, which owns about 27 percent of Charter, Wlodarczak said.

Liberty Media got involved in working with Comcast but Charter did the nuts and bolts of the deal, the source said.

Cable pioneer Malone, who set up the largest cable operator in the United States before selling it to AT&T in 1999, returned to the U.S. cable market with Liberty's investment in Charter in March 2013.

In addition to the divestments, Charter and Comcast will swap about 1.6 million customers.

Charter will get the Detroit and Minneapolis-St. Paul markets, the companies said in the presentation.

Comcast will get parts of the Los Angeles, New York state, western Massachusetts, North and South Carolina and parts of Texas and Georgia markets.

Time Warner Cable had 11.2 million residential video subscribers as of March 31, while Comcast had 22.6 million.

Charter, which also reported better-than-expected first-quarter revenue, said it expected to fund the purchase of 1.4 million customers through debt.

This CD-ROM was a very good introduction to Dutch. It seems there are no really great language courses. This does sweet well. The pronunciation is good and they are linked to photos to build comprehension. I wish there were some explanations of grammar and sentence organize. You learn like a small outcome would learn a language. There is no english at all - no translations or explanations. you must figure out what the words mean from the pictures. It builds complexity at a good pace. I am happy with this item. But, It needs companion dictionary and grammar resources. Nevertheless, I have learned a lot of vocabulary, spelling and pronunciation and can recommend it.

As a native Dutch lecturer (born and raised in the Netherlands) I was looking for a program to introduce my language in trade into our family. Over the years English has taken over in our household, to the point that we rarely speak Dutch anymore. It's extremely visual, easy and fun. My eleven-year old can click through the exercises on her own, while the younger one likes some assistance. The different voices are standard Dutch and would be easily understood in all different regions of The Netherlands and Flanders. The reason I'm giving it four stars is that it wasn't extremely clear how to get started and how the program is structured. But it seems to be converted into obvious as we go along.I also think this would make a great introduction for any age to get a believe for the language. For the price it's a great deal.

The Ultimate Warrior, one of wrestling's biggest stars of the late 1980s and early 1990s, died of heart disease, according to the Maricopa County (Ariz.) medical examiner's office.

Days after his induction into the World Wrestling Entertainment Hall of Fame and a reconciliation with WWE, Warrior collapsed outside a Scottsdale, Ariz., hotel last Tuesday while walking with his wife Dana. Warrior had made his first appearance on "Monday Night Raw" since 1996 the night before his death.

An autopsy was performed Thursday with the cause and manner of death released Monday.

According to Maricopa County, Warrior, 54, died of "atherosclerotic/arteriosclerotic cardiovascular disease" and of natural causes. The medical examiner's office will continue its investigation into Warrior's death, in consultation with his family and doctors, although a full autopsy report likely won't be completed for several months.

Born James Hellwig, he had legally changed his name to Warrior. He is survived by his wife and two daughters.

One group did brain training exercises [the other one, the Brain Fitness Program] and the other group did university lectures with quizzes. This was done 1 hour/ day, 5 days/ week for eight weeks. Results: the group that did lectures etc. had no demonstrable improvement from cognitive tests taken before the study began. The brain training group improved their speed of processing by a group average of 141%! So it is more cost effective than inane to school, unless a nice paying job is guaranteed there at the end.)

'Game of Thrones' Season 4 Premiere Recap: 'Two Swords' makes point about a ...

As premiere openings go (the one time of the season that there is a scene before the credits), Season 4 lacks the shock value of previous seasons' sequences. Instead, it's fairly subtle; a glimpse of Tywin Lannister (Charles Dance) having Ned Stark's mammoth sword, "Ice," melted down and recast into two smaller blades.

The scene serves as a sobering reminder that with Robb Stark and his mother massacred at the Red Wedding, the Lannisters have all but cemented their hold on the Iron Throne. There are almost no good guys' heads left to chop off at this point.

Tywin has one of those two swords reserved for his son Jaime (Nikolaj Coster-Waldau), who seems impressed, despite not having the right hand anymore to properly wield it.

"Where did you get this much Valyrian steel," asks Jaime.

"From someone who no longer had need of it," answers his father, putting salt in the wounds for all of us who kneel in the fealty to the Starks.

It doesn't take long for Jaime, however, to run afoul of his father. He refuses an order to give up his post in the Kingsguard to return to Casterly Rock, the seat of the family's power - largely because he doesn't want to leave behind the love of his life, his own sister.

That doesn't sit well with Tywin, even though Jaime offers to return the sword.

"Keep it, a one handed man with no family needs all the help he can get," grouses dad.

Meanwhile, younger brother Tyrion (Peter Dinklage) has slipped so far down the hierarchy that he's left waiting in the dusty road for Prince Doran Martell, to welcome the guest to Joffrey's wedding festivities.

Seems like everyone in Dorn rides by - except for both that prince (who turns out to be a no-show for health reasons) and his replacement, the fearsome Prince Oberyn Martell, aka the Red Viper of Dorn.

The Red Viper arrived before dawn, since he doesn't particularly go for the welcome party treatment. That complicates Tyrion's life even more than usual.

"We must find Prince Oberyn before he kills something," he huffs to his loyal henchman Bronn (Jerome Flynn).

Where to look for a man with such prodigious sexual appetites as the legionary Prince Oberyn (Pedro Pascal)? In the biggest brothel in King's Landing, of course. Cue the best introduction of a new character in "Game of Thrones" history.

Over the course of five minutes, Oberyn readies to make love to two women and one man, interrupting only when he hears two obnoxious Lannister soldiers in the next room. He picks a fight and stabs one in the wrist.

It turns out Oberyn's never really gotten over the fact that the Lannisters' enforcer, Gregor Clegane, aka The Mountain, raped and butchered his sister. He's not really visiting for just the open bar at the wedding.

"Tell your father I'm here, and tell him the Lannisters aren't the only ones who pay their debts," Oberyn warns Tyrion.

On Essos, Daenerys is cradling the biggest of her dragons, Drogon, in her lap like a domesticated house cat. Only it's the size of a horse. The tranquil illusion is shattered when Drogon's smaller siblings drop a lamb into their midst and the Mother of Dragons makes a move to calm her squabbling "babies." Drogon swivels to roar a fierce warning in her direction. It's clear she's lost control.

"Dragons, Khaleesi, they can never be tamed not even by their mother," warns her chief advisor, Jorah Mormont (Iain Glen).

There's no time to ponder the advice, since she's too busy summoning her army. Among them is a brand new Daario - with actor Michiel Huisman replacing Ed Skrein, who played the part last season. Here's what I don't get: recasting happens in the business, but why completely ignore continuity by having the new guy sport a full beard and short hair? It's unnecessarily confusing.

Sansa Stark (Sophie Taylor) is a broken woman, coming to grips with the decimation of her family (remember, she has no idea Bran, Rickon and Arya are still alive) and married to a member of the Lannisters, the house directly responsible for the destruction of the House of Stark.

"I like awake all night staring at the canopy thinking about how they died," she tells Tyrion. "Do you know what they did to my brother? They say they sewed his direwolfs head to his body. And to my mother? They say they cut her throat to the bone and threw her body into the river."

Though it's clear Tyrion only feels sorry for his reluctant bride, his mistress, Shae (Sibel Kekilli) confronts him later in his room out of jealousy. Is he trying to get rid of her? The lack of an answer is not to her satisfaction, so she leaves in a huff, but is spied by one of the handmaidens loyal to Cersei. This can't end well.

Speaking of Cersei (Lena Headey), Jaime finally gets some alone time with his sister and object of his affections.

He orders Polliver to get him a chicken, which changes the mood in the room quickly.

"You're a talker. Listening to talkers makes me thirsty," says The Hound, grabbing Polliver's ale and drinking it all. "And hungry. Think I'll take two chickens."

"You don't understand the situation," warns Polliver.

"I understand that if any more words come out of your c---t mouth, I'm going to have to eat every chicken in this room," the former member of the Kingsguard says, voice full of menace and mouth full of the kind of dialogue D.B. Weiss and David Benioff are famous for.

"You lived for the king, you're going to die for some chickens?" asks Polliver as he and his four compatriots draw their swords.

"Someone is," says The Hound.

What follows is a gory mess of a swordfight, the tide of which is turned when Arya runs through one of the soldiers with his own sword and slices the legs of Polliver from behind.

Before she dispatches the piece of garbage by sticking Needle through his chin, she repeats what he said when he killed her friend. ("A fine little blade. Maybe I'll pick my teeth with it.") There's a flicker of recognition in his terrified eyes before he dies coughing on his own blood.

If memory serves me it was Sandor who delivered the killing blow in the book, "A Storm of Swords," but this is much more powerful.

The pair of unlikely allies rides out into the sunset in the episode's final shot, one of the best endings in the show's history. The Hound has his chicken; Arya, a smile on her face, has her horse.

The velocity response and the behavior of sustained notes is much more realistic. The default settings have a fair amount of reverb - to simulate a concert hall. Adjusting that and other sliders can give a sound more appropriate to other settings.It still does not sound like a real grand piano of course - there are no induced harmonics when the sustain pedal is depressed, for example. But, not bad at all.The harpsichord is pretty disappointing in comparison. The lower register is amplified way louder than the upper - roughly everything below middle C as I recall. I haven't tried adjusting bass reduction effects etc to make it sound more 'correct'. Also, considerable reverb in the default 'Orchestra Harpsichord' to reflect a large hall. Lower that to get a chamber sound.The variety of attack modes that are adjustable by keyboard control are pretty nice for instruments such as the strings and brass.The huge quantity of loops (over 3 GB) will be of less use to me, but can be handy for making some quick transitions or tracks for videos - since Garage Band is basically THE sound editor for iMovie and Final Cut Express now. I had expected that the loops would be performances on real instruments, but many (most?) sound like sampled digital instruments to my ear.If you want a better piano, a harpsichord and/or symphonic instruments, this pack is a great deal.PS Not in the product description, so I just noticed: The Jam Pack comes with a selection of 'demo songs' reached from the File > Open Demos menu. (If shared, these reside on disk at Users > Shared > Symphony Orchestra Demo Songs.) Five symphonic themes as an orchestra of MIDI instruments and 8 loop (wave) compositions.
